It repeals Regulation (EU) 2019\/452 and establishes a renewed framework for the screening of foreign investments in the Union. The substantive change is clear: the system moves from one based on cooperation between Member States to a model of mandatory minimum harmonisation, under which all countries must establish a national screening mechanism with common requirements \u2014 without prejudice to the exclusive responsibility of each Member State for its own national security. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>1. From cooperation to mandatory harmonisation<\/strong><\/h2>\n\n\n\n<p>Under Regulation (EU) 2019\/452, each Member State decided whether to have a national screening mechanism and how to structure it. The new Regulation (EU) 2026\/1386 goes a step further: each Member State must establish its own screening mechanism, notifying the Commission no later than 17 January 2028, and harmonises its essential elements \u2014 procedural requirements, safeguards, powers of the authorities and enforcement regime. Member States retain discretion to adopt complementary or more specific rules, and even to extend the scope of their mechanism to investments not covered by the common minimum scope, provided that this does not undermine the objective of the Regulation.  <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. What is meant by &#8220;foreign investment&#8221;<\/strong><\/h2>\n\n\n\n<p>The Regulation defines \u201cforeign investment\u201d as any investment that enables a foreign investor to establish or maintain lasting and direct links with an EU target undertaking, thereby obtaining an effective participation in its management or control.<\/p>\n\n\n\n<p>A relevant new feature is the definition of a \u201csubsidiary of a foreign investor in the Union\u201d (Art. 2(7)): an undertaking incorporated in a Member State but controlled, directly or indirectly, by a foreign investor. The Regulation also applies to investments made by such subsidiary in another EU target undertaking (the so-called \u201cintra-Union investments\u201d), thereby closing the route previously used to circumvent the screening requirements under Regulation 2019\/452 by structuring the transaction through a company already established in the EU. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. Which transactions are excluded<\/strong><\/h2>\n\n\n\n<p>Article 1(5) expressly excludes the following from the scope of the Regulation:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Foreign investments made under a bank resolution instrument, or involving central counterparties or insurance\/reinsurance undertakings, given that time is critical in such processes and prior screening could prevent an appropriate and timely response.<\/li>\n\n\n\n<li>Internal group restructurings (mergers, demergers) that do not change the ultimate beneficial owner of the target undertaking.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. Procedural stages and deadlines<\/strong><\/h2>\n\n\n\n<p>The new rules introduce a procedure with uniform deadlines across the EU. For investments subject to filing, the competent authority has 45 calendar days from the date on which the complete filing is submitted to carry out an initial assessment and decide whether to initiate an in-depth assessment. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. Ex post screening and anti-circumvention measures<\/strong><\/h2>\n\n\n\n<p>One of the most significant new features is the strengthening of powers to conduct screening after the transaction has been completed. The new Regulation requires national authorities to be able to: <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>On their own initiative, screen investments that did not require prior authorisation for a period ranging from 15 months to 5 years after the investment was made.<\/li>\n\n\n\n<li>Screen for at least 24 months investments that required prior authorisation where such authorisation was not requested or was requested late.<\/li>\n\n\n\n<li>Monitor compliance with the conditions imposed and detect, prevent and address circumvention of the mechanism.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6. Mandatory prior authorisation: the common minimum scope<\/strong><\/h2>\n\n\n\n<p>Article 4(15) requires national mechanisms to impose mandatory prior authorisation \u2014 to be obtained before the investment is made \u2014 where the undertaking:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Develops, produces or trades dual-use items (Regulation (EU) 2021\/821) or military goods and technology (Directive 2009\/43\/EC).<\/li>\n\n\n\n<li>Produces or researches semiconductor or quantum technologies, or conducts research into artificial intelligence technologies.<\/li>\n\n\n\n<li>Operates in transport, energy or digital infrastructure and is deemed essential following a risk assessment by the Member State (e.g. airports, major ports, cloud computing providers, gas or electricity network operators).<\/li>\n\n\n\n<li>Carries out activities involving the exploration, extraction, processing, recycling or storage of strategic raw materials (Regulation (EU) 2024\/1252).<\/li>\n\n\n\n<li>Is a systemically important financial institution.<\/li>\n\n\n\n<li>Owns, develops or manages voter registration databases, voting systems or other systems for managing electoral processes.<\/li>\n<\/ul>\n\n\n\n<p>This prior authorisation requirement does not apply to investments in new projects, i.e. where the investor creates entirely new facilities or an entirely new undertaking.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>7. When must the transaction be notified to other Member States and the Commission<\/strong><\/h2>\n\n\n\n<p>The new Regulation requires investments falling within the common minimum scope to be notified through the cooperation mechanism where, among other circumstances, one or more of the following criteria applies:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The foreign investor (or its EU subsidiary) is directly or indirectly controlled by the government of a third country.<\/li>\n\n\n\n<li>The investor is subject to EU restrictive measures (sanctions, Art. 29 TEU and Art. 215 TFEU).<\/li>\n\n\n\n<li>The investor has previously participated in a transaction that was not authorised, or that was authorised subject to mitigation measures which were materially or repeatedly breached.<\/li>\n\n\n\n<li>The target undertaking participates in a project or programme of interest to the Union (listed in Annex II: Galileo, Horizon Europe, trans-European transport\/energy networks, the European Defence Fund, etc.), or has subsidiaries in another Member State, where an in-depth assessment is opened.<\/li>\n<\/ul>\n\n\n\n<p>The notification deadlines are 15 calendar days from the filing of the application in the first scenario, and 45 calendar days in the second.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>8. Criteria for assessing whether an investment affects security or public order<\/strong><\/h2>\n\n\n\n<p>Article 19 establishes the common criteria that Member States and the Commission must assess.<\/p>\n\n\n\n<p>Factors linked to the transaction:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Effects on projects or programmes of interest to the Union, or on the availability of key technologies (semiconductors, AI, biotechnology, space technologies, submarine cables, energy, robotics, among others).<\/li>\n\n\n\n<li>Security, integrity and resilience of critical entities or critical infrastructure, and continuity of supply of essential inputs.<\/li>\n\n\n\n<li>Protection of sensitive information (including personal data), freedom and pluralism of the media, and protection of electoral processes.<\/li>\n\n\n\n<li>Public health (including the supply of critical medicines) and food security.<\/li>\n\n\n\n<li>Security of military facilities or other sensitive public facilities located near the target undertaking.<\/li>\n<\/ul>\n\n\n\n<p>Factors linked to the investor: whether it pursues the political objectives of a third country or facilitates the development of its military capabilities; whether it is subject to EU sanctions; whether it has previously breached mitigation measures; whether it is established in a country with deficiencies in anti-money laundering measures; whether it is subject to obligations to share information for intelligence purposes without procedural safeguards; or whether it has an opaque ownership structure.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>9. Screening decisions and available mitigation measures<\/strong><\/h2>\n\n\n\n<p>Where the host Member State concludes that the investment may adversely affect security or public order, it must either authorise it subject to mitigation measures, or prohibit or annul it \u2014 the latter option only exceptionally, where no mitigation measure is sufficient. Mitigation measures may include changes to the governance structure, modifications to the investor\u2019s voting rights, restrictions on access to technology or sensitive information, and requirements to store and process certain data within the EU. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>10. Enhanced safeguards for investors<\/strong><\/h2>\n\n\n\n<p>Regulation (EU) 2026\/1386 sets out in greater detail the procedural safeguards applicable to foreign investors:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Right to an effective judicial remedy against screening decisions.<\/li>\n\n\n\n<li>Right to be heard before a transaction is prohibited, annulled or authorised subject to mitigation measures.<\/li>\n\n\n\n<li>Enhanced protection of confidential information, with the possibility of expressly designating such information as confidential.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>11. A more stringent sanctions regime<\/strong><\/h2>\n\n\n\n<p>Member States must empower their authorities to impose effective, proportionate and dissuasive sanctions, both for failure to submit a filing where required and for non-compliance with imposed mitigation measures.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>12. Cooperation between Member States and the European Commission<\/strong><\/h2>\n\n\n\n<p>The cooperation mechanism established under Regulation 2019\/452 is maintained and strengthened: other Member States may submit comments on a transaction and the European Commission may issue opinions, including proposals for mitigation measures. The receiving Member State must duly take those comments and opinions into account and communicate the operative part of its decision together with a summary of its reasons. The new Regulation therefore combines enhanced cooperation with minimum harmonisation.  <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>13. Entry into force, repeal and transitional regime<\/strong><\/h2>\n\n\n\n<p>Regulation (EU) 2026\/1386 enters into force 20 days after its publication in the OJEU \u2014 on 16 July 2026 \u2014 although its general application is deferred until 17 January 2028. However, several implementation provisions have applied since 16 July 2026, including the obligation to notify the national mechanism, the information form, the secure and encrypted system, the Union online portal and secure database, and the rules on delegated acts and the committee procedure. What companies and investors should do now<\/strong><\/h2>\n\n\n\n<p>Although general application does not begin until 2028, it is advisable to anticipate the impact of the new framework from now on, particularly in M&amp;A transactions involving foreign investment: review whether the target undertaking operates in any of the sectors within the mandatory minimum scope, map the investor\u2019s chain of control \u2014 including structures involving European subsidiaries \u2014 and plan for the new deadlines of the two-stage procedure.
