What is the Startup Law in Spain?<\/strong><\/h2>\n

With the entry into force of Order PCM\/825\/2023<\/strong>, the legal framework for startups in Spain has evolved significantly. This regulation complements Law 28\/2022 (Startup Law)<\/strong>, establishing the criteria and procedures for emerging companies to benefit from tax advantages and other incentives.<\/p>\n

In this article, we explain the requirements and steps<\/strong> necessary to obtain the startup certification<\/strong>, granted by the National Innovation Company, S.M.E., S.A. (ENISA)<\/strong>.<\/p>\n

Requirements to Be Recognized as a Startup<\/strong><\/h2>\n

1. Innovative Character<\/strong><\/h3>\n

A startup must solve a problem or improve an existing situation through innovative products, services, or processes<\/strong>, assuming technological, industrial, or business model risks.<\/p>\n

Criteria for identifying innovation:<\/strong><\/h4>\n
    \n
  • Development of technologies protectable through industrial property, software, or know-how<\/strong>.<\/li>\n
  • Possibility of obtaining a report from the Spanish Patent and Trademark Office (OEPM)<\/strong>.<\/li>\n
  • Introduction of innovations in products, processes, services, or business models.<\/li>\n<\/ul>\n

    Cases where innovation is presumed:<\/strong><\/h4>\n

    A company will be considered innovative if it meets at least one of these requirements:<\/p>\n

      \n
    • Has allocated more than 15%<\/strong> of its expenses to R&D&i in the last two years.<\/li>\n
    • Has received public funding for innovative projects<\/strong>.<\/li>\n
    • Holds a motivated report<\/strong> from the Ministry of Science and Innovation.<\/li>\n
    • Has obtained social security contribution bonuses<\/strong> for research personnel.<\/li>\n
    • Possesses innovation certifications such as:\n
        \n
      • Young Innovative Company Seal<\/strong>.<\/li>\n
      • Innovative SME Seal<\/strong>.<\/li>\n
      • R&D&i Management Certification<\/strong>.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n

        2. Scalable Character<\/strong><\/h3>\n

        Although the regulation does not explicitly define scalability<\/strong>, it establishes certain evaluation criteria:<\/p>\n

          \n
        • Market appeal<\/strong> of the product or service.<\/li>\n
        • Company development level<\/strong>.<\/li>\n
        • Viability and sustainability<\/strong> of the business model.<\/li>\n
        • Degree of competition<\/strong> in the sector.<\/li>\n
        • Experience and training<\/strong> of the team.<\/li>\n
        • Customer profile<\/strong>.<\/li>\n
        • Nature of contracts<\/strong> with suppliers and tenants.<\/li>\n<\/ul>\n

          Cases where scalability is presumed:<\/strong><\/h4>\n
            \n
          • The company has signed credit policies with ENISA<\/strong> in the last three years, and at least one is still in effect.<\/li>\n<\/ul>\n

            Procedure to Obtain Startup Certification<\/strong><\/h2>\n

            1. Submission of the Application<\/strong><\/h3>\n

            Interested companies must apply for certification through the electronic registration on the ENISA portal<\/strong>, attaching the following documents:<\/p>\n

              \n
            • Company NIF<\/strong>.<\/li>\n
            • Incorporation deed<\/strong>.<\/li>\n
            • Annual accounts<\/strong> of the last fiscal year.<\/li>\n
            • Certificate of compliance<\/strong> with tax and social security obligations.<\/li>\n
            • Sworn statement<\/strong> of compliance with the Startup Law requirements.<\/li>\n
            • Business plan<\/strong> demonstrating its innovative and scalable character.<\/li>\n<\/ul>\n

              2. Evaluation and Resolution<\/strong><\/h3>\n

              ENISA will review the application and issue a resolution within a maximum period of three months<\/strong>.<\/p>\n

              • If no response is received within this period, the application will be considered approved by positive administrative silence<\/strong>.<\/li>\n<\/ul>\n

                The tax and administrative benefits of the Startup Law<\/strong> will be available from the date the company obtains startup certification<\/strong>.<\/p>\n
